The template

SERVICE AGREEMENT

This Agreement is made on [date] between [Provider] ("Provider")
and [Client] ("Client").

1. SERVICES. Provider will perform: [describe the scope of work].

2. COMPENSATION. Client will pay [fee]. [Payment terms — e.g. 50%
   deposit to begin, balance on delivery.]

3. TERM. Work begins [start date], targeting completion by
   [end date], subject to timely Client feedback and materials.

4. REVISIONS. The fee includes [2] rounds of revisions. Additional
   revisions are billed at Provider's standard rates.

5. INTELLECTUAL PROPERTY. On full payment, Provider assigns the
   final deliverables to Client, excluding Provider's pre-existing
   tools and know-how. Provider may show the work in its portfolio.

6. CONFIDENTIALITY. Each party will keep the other's non-public
   information confidential.

7. INDEPENDENT CONTRACTOR. Provider is an independent contractor,
   responsible for its own taxes.

8. TERMINATION. Either party may terminate with [14] days' written
   notice. Client pays for all work performed to that date.

9. LIABILITY. Provider's total liability will not exceed the fees
   paid. Neither party is liable for indirect damages.

10. GOVERNING LAW. This Agreement is governed by the laws of
    [state / country].
