Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BuyerSuite (“Service”), operated by BuyerSuite (“we”, “our”, or “us”). By creating an account or using the Service, you agree to these Terms.

1. The Service

BuyerSuite is a client portal platform for service-based businesses. It lets you create branded workspaces, share project updates, deliver files for approval, send invoices, and communicate with clients — all through a shareable link that requires no client login.

2. Your account

You must be at least 18 years old to create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@buyersuite.com if you suspect unauthorized access.

You may only create one account per person or organization. Accounts are non-transferable.

3. Subscription plans and billing

BuyerSuite offers a free tier and paid subscription plans (“Starter” and “Pro”). Paid plans are billed monthly in advance. Prices are listed on our pricing page.

  • Free plan — Limited to 1 client portal. No credit card required.
  • Paid plans — Billed via Stripe. Subscriptions renew automatically each month unless cancelled.
  • Cancellation — You can cancel at any time from your billing settings. Your plan remains active until the end of the current billing period. No refunds are issued for partial months.
  • Plan changes — Upgrades take effect immediately. Downgrades take effect at the next renewal.

We reserve the right to change pricing with 30 days’ notice to existing subscribers.

4. Acceptable use

You agree not to use BuyerSuite to:

  • Violate any applicable law or regulation
  • Send spam, unsolicited messages, or deceptive communications
  • Upload malware, viruses, or any malicious code
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Scrape, reverse-engineer, or copy any part of the Service
  • Impersonate another person or entity
  • Use the Service in any way that could damage, disable, or impair its operation

We reserve the right to suspend or terminate accounts that violate these terms without notice.

5. Your content and data

You retain full ownership of all content you upload or create in BuyerSuite — including client data, files, invoices, and updates. You grant us a limited license to store and transmit your content solely to operate the Service.

You are responsible for ensuring you have the right to upload and share any content you add to BuyerSuite, and that your use of the Service complies with applicable data protection laws regarding your clients’ data.

6. Client portal access

Client portals are publicly accessible via their unique URL. You are responsible for controlling who you share portal links with and ensuring that shared content is appropriate. You can deactivate a portal at any time from your dashboard.

7. Availability and modifications

We aim to maintain high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for significant changes that affect your use of the Service.

8. Intellectual property

BuyerSuite and its original content, features, and functionality are owned by us and are protected by copyright and other intellectual property laws. You may not use our name, logo, or branding without our prior written permission.

9. Limitation of liability

To the maximum extent permitted by law, BuyerSuite shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business — arising from your use of or inability to use the Service.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Termination

You may terminate your account at any time from Settings. We may terminate or suspend your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately and your data will be deleted per our data retention policy.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which BuyerSuite is registered, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. We will post the revised version on this page with a new “Last updated” date and notify you by email for material changes. Continued use of the Service after changes constitutes acceptance of the updated Terms.
