This Service Agreement (the “Agreement”) is entered into as of 2026-07-28 by and between [Provider] (“Provider”) and [Client] (“Client”).
1. Services
Provider agrees to perform the following services for Client: [describe the scope of work].
2. Compensation
Client agrees to pay Provider [fee]. Payment terms as agreed by the parties.
3. Term & Timeline
Work will commence on [start date] with a target completion of [completion date]. Timelines depend on Client providing required materials and feedback promptly.
4. Revisions
The fee includes 2 rounds of revisions. Additional revisions may be billed at Provider's standard rates.
5. Intellectual Property
Upon receipt of full payment, Provider assigns to Client all right, title, and interest in the final deliverables, excluding Provider's pre-existing tools, templates, and know-how. Provider may display the work in its portfolio.
6. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other and to use it only to perform this Agreement.
7. Independent Contractor
Provider is an independent contractor, not an employee, partner, or agent of Client, and is responsible for its own taxes.
8. Termination
Either party may terminate this Agreement with 14 days' written notice. Client shall pay for all work performed up to the termination date.
9. Limitation of Liability
Provider's total liability under this Agreement shall not exceed the total fees paid by Client. Neither party is liable for indirect or consequential damages.
10. Governing Law
This Agreement is governed by the laws of [state / country], without regard to conflict-of-law principles.
11. Entire Agreement
This Agreement is the entire agreement between the parties and supersedes all prior discussions. Any changes must be in writing and signed by both parties.
